These Terms of Service ("Terms") govern access to and use of the EB Smart Solutions website, EBSS Platform, and related services. By using the services, you agree to these Terms on behalf of yourself or the organization you represent.
1. Eligibility and accounts
You must be legally able to enter into a binding agreement and, when using EBSS for an organization, have authority to act for that organization. You are responsible for accurate account information, safeguarding credentials, and activity performed through your account.
2. The EBSS service
EBSS provides configurable business software that may include customer management, communications, scheduling, operations, billing, documents, reporting, websites, integrations, automation, and AI-assisted tools. Features may vary by plan, configuration, industry, location, or availability.
3. Subscriptions, fees, and taxes
Paid services are billed according to the plan, order, or agreement presented at purchase. Unless otherwise stated, recurring subscriptions continue until canceled. You are responsible for applicable taxes and authorized charges. Fees already incurred are nonrefundable except where required by law or expressly stated otherwise.
4. Your data and content
You retain ownership of data and content you submit to EBSS. You grant us the limited rights necessary to host, process, transmit, display, back up, and otherwise handle that content to provide, secure, support, and improve the services.
You are responsible for having the rights, permissions, notices, and consents needed to upload or process information through EBSS, including information about your customers, employees, vendors, and contacts.
5. Acceptable use
- Do not use EBSS for unlawful, fraudulent, abusive, deceptive, or infringing activity.
- Do not attempt to gain unauthorized access to accounts, systems, data, or networks.
- Do not interfere with service integrity, security, availability, or other users.
- Do not send communications or publish content without required consent or authorization.
- Do not use the service to violate third-party platform rules or applicable laws.
6. Third-party services and integrations
EBSS may connect with third-party platforms and services. Your use of those services remains subject to their terms, policies, permissions, limits, and availability. We are not responsible for third-party services, and changes made by a provider may affect an integration.
7. Communications and social publishing
You are responsible for the recipients, content, timing, permissions, and legal compliance of communications or social content sent or published through EBSS. You must comply with applicable messaging, marketing, privacy, advertising, and platform rules.
8. AI-assisted features
AI-assisted output may be incomplete, inaccurate, or unsuitable for a particular purpose. You are responsible for reviewing output before using, sending, publishing, or relying on it. Do not use AI-assisted features to make decisions that require professional judgment without appropriate independent review.
9. Security and service changes
We use reasonable measures designed to protect the service, but no online service can be guaranteed to be uninterrupted or completely secure. We may maintain, modify, add, suspend, or discontinue features as the platform evolves, subject to any commitments in an applicable written agreement.
10. Suspension and termination
You may stop using EBSS at any time and may cancel paid services as permitted by your plan or agreement. We may suspend or terminate access for nonpayment, material breach, security risk, unlawful use, abuse, or where necessary to protect EBSS, customers, users, or third parties.
11. Intellectual property
EBSS, including its software, interfaces, branding, designs, documentation, and related materials, is owned by or licensed to EB Smart Solutions and is protected by applicable intellectual property laws. These Terms do not transfer ownership of EBSS intellectual property to you.
12. Disclaimers
To the maximum extent permitted by law, the services are provided "as is" and "as available." We disclaim warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, and noninfringement.
13. Limitation of liability
To the maximum extent permitted by law, EB Smart Solutions will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, goodwill, data, or business opportunities arising from use of the services. Any limitation that cannot legally apply will apply only to the extent permitted by law.
14. Governing law
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, except where applicable law requires otherwise.
15. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date will show the most recent revision. Continued use of the services after updated Terms take effect constitutes acceptance where permitted by law.
